1. To Enter: The sweepstakes begins 8/1/05 and ends 9/30/05 ("Sweepstakes Period"). An eligible Visa cardholder automatically receives one (1) sweepstakes entry for each Visa purchase made with his/her Visa card at a participating merchant location in the United States during the Sweepstakes Period. Only purchases made with a Visa card that is not in default under the customer agreement for that account and issued in the U.S. by a participating financial institution, and processed through Visa U.S.A. Inc.'s transaction-processing system during the Sweepstakes Period, are eligible for automatic entry. Cash advances, balance transfers, non-U.S.-dollar purchases, Interlink®-processed transactions, and purchases authorized by entering a personal identification number (PIN) are excluded from automatic entry. In the event of a dispute as to who submitted a particular cardholder entry, such entry will be deemed to be submitted by the primary person in whose name the card used to enter the sweepstakes was issued. Cards or card numbers which are stolen, fraudulent, tampered with, or otherwise altered are not eligible for automatic entry.

To enter without purchase or obligation: Hand-print your name, address, city, state, zip, day and evening phone numbers, and the words "Visa Join the Journey Sweepstakes" on a 3" x 5" card, and mail in a stamped #10 envelope to: Visa Join the Journey Sweepstakes, P.O. 2. Eligibility: Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of 8/1/05. Commercial card eligibility is subject to employer policies regarding sweepstakes participation. Employees of Visa U.S.A. Inc., Visa International Service Association, their respective Member financial institutions, their respective parents, subsidiaries and affiliates, prize suppliers, and advertising and promotion agencies of Visa U.S.A. Inc., including asterisk* LLC ("asterisk"), Frankel & Company ("Frankel"), their parent, and its subsidiaries and affiliates, and the immediate families (spouse, and parents, children, and siblings, and each of their respective spouses, regardless of where they live) and persons living in the household of each of these individuals, whether related or not, are ineligible. Void where prohibited or restricted by law. The sweepstakes is subject to all applicable federal, state, and local laws and regulations.

3. Drawing: On or about 10/15/05, a random drawing from among all eligible entries received will be conducted under the direction of asterisk, an independent judging agency whose decisions are final in all matters related to the drawing. All prizes will be awarded.

4. Odds: Estimated odds of winning the Grand Prize are 1:3,459,072,009; Estimated odds of winning a First Prize are 1:345,907,201; however, actual odds depend upon the total number of eligible entries received.

5. Prizes: One (1) Grand Prize: A trip for five (5) days/four (4) nights to the Torino 2006 Olympic Winter Games for the winner and three (3) guests. The Grand Prize includes roundtrip coach-class air travel for four (4) from the major U.S. gateway airport nearest winner's residence to Torino, Italy; deluxe hotel accommodations (two [2] double occupancy rooms) for five (5) days/four (4) nights; roundtrip ground transportation between the airport and hotel in Torino, four (4) tickets to two (2) events per day (excluding arrival and departure days) to select events, scheduled meals, and access to the Visa hospitality suite with Olympic Games athletes. The Grand Prize winner will also receive a $500 Visa Gift card and a cash award in the amount of $16,985, which may be used toward the payment of taxes if the winner so chooses. Approximate Retail Value ("ARV") of the Grand Prize: $55,685. Actual value of the Grand Prize trip will vary, based upon points of departure, dates of travel, and airfare fluctuations. Any difference between stated value and actual value will not be awarded. Ten (10) First Prizes: One (1) 42" Panasonic plasma-screen television, including delivery, and a $500 Visa Gift card, which may be used toward the payment of setup costs the winner may incur. First Prize ARV: $6,250 each. Total Prize Pool ARV: $118,185.

6. Prize Restrictions: Prizes are not transferable. No substitution or cash equivalent of any prize permitted except at the sole discretion of Sponsor. Any portion of prize not accepted by winner will be forfeited. Federal, state, and local taxes on prize and any expenses relating to the acceptance and use of prize not specified herein as being awarded (including, without limitation, meals, gratuities, and souvenirs) are the responsibility of winner and his/her guests. Time of travel is subject to approval of Sponsor. Travel dates and arrangements are subject to change. All travel arrangements must be made by Sponsor's agent or a provider of Sponsor's choice at least twenty-one (21) days prior to travel. Grand Prize winner and his/her guests must travel together on the same itinerary and must be available to travel between 2/18/06 and 2/24/06 (prize package dates are Feb 19-23, 2006 in Torino). Grand Prize winner and his/her guests are responsible for obtaining all international travel documents. Limit one prize per person, household, or address.

7. Prize Claims: Each potential prize winner will be notified by phone and/or a traceable method of delivery, and will be required to complete and sign an Affidavit of Eligibility/Liability Release and, where legal, a Publicity Release, both of which must be returned within seven (7) days of receipt of prize notification or the prize will be forfeited and awarded to an alternate winner. If a prize is won by a person who is not of the legal age of majority in the state of residence ("minor"), the required documents must be confirmed and signed by winner's parent or legal guardian, and the prize will be awarded in the name of his/her parent or legal guardian who will be required to fulfill all requirements imposed on winner set forth herein. The Grand Prize winner will be allowed twenty-one (21) days from the date of acceptance of the prize to identify three (3) travel companions who must be eighteen (18) years of age or older. Each guest must execute a Liability and Publicity Release prior to the issuance of travel documents. In the event of noncompliance with these Official Rules, or if prize or prize notification is unclaimed or returned as undeliverable, the prize will be forfeited and may be awarded to an alternate winner.

8. Additional Terms: By participating, entrants or, if minors, their parents or legal guardians agree to: a.) the Official Rules and the decisions of the judges and Sponsor, which shall be final in all respects; and b.) release, discharge, and hold harmless Visa U.S.A. Inc., Visa International Service Association, their respective Member financial institutions, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, including asterisk and Frankel, their parent and its subsidiaries and affiliates, and each of their respective officers, directors, shareholders, agents, and employees of the aforementioned entities (collectively, the "Releasees"), from any liability, claims, or damages arising out of their participation in the sweepstakes and the acceptance, use, misuse, or possession of any prize, including, without limitation, any travel related thereto. By accepting a prize, each winner or, if a minor, his/her parent or legal guardian agrees to, where legal, Sponsor's and its designees' use of his/her name and/or likeness for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without compensation, permission or notification and, upon request, will provide consent to such use in writing. As a condition of entering the sweepstakes, participant (or parent/legal guardian if participant is a minor) agrees that: a.) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; b.) all causes of action arising out of or connected with this sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and c.) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees. Sponsor reserves the right to modify prize award procedures at its discretion.

9. Limitation of Liability: Releasees are not responsible for computer, printing, typographical, human, or other errors, including, without limitation, errors which may occur in the administration of the sweepstakes, the announcement of the prizes, the processing of entries or in any sweepstakes-related materials; for stolen, lost, late, misdirected, undelivered, damaged, incomplete, illegible, or postage-due mail or entries; or for transactions that are lost, misdirected, or fail to enter into the processing system; or are processed, reported, or transmitted late or incorrectly; or are lost for any reason, including computer, telephonic, paper-transfer, or human error, or electronic, computer, or telephonic malfunction, damage, error, omission, interruption, defect, delay in operation or transmission, or any combination thereof. If, for any reason, this sweepstakes is not capable of running as planned, or infection by computer viruses, bugs, or tampering, unauthorized intervention, fraud, actions of entrants, technical failures, or any other causes corrupt or affect the administration, security, fairness, integrity, or proper conduct of the sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any entry or entrant and/or to cancel, terminate, modify, or suspend the sweepstakes and at its sole discretion award a prize from among all eligible non-suspect entries validly received prior to the action requiring such modification.
